TERMS OF SERVICE

Welcome to Toolvia. By purchasing any of our automation packages (Core Flow, Plus Flow, Pro Flow, or Elite Flow), you agree to the following terms and conditions.

1. Description of Services

Toolvia provides custom workflow automation services using third-party platforms like Zapier to connect your existing business tools.

  • Core Flow: Focuses on lead follow-up, appointment reminders, and review requests.

  • Plus Flow: Includes Core Flow plus Automated Accounts Receivable (A/R) and data logging.

  • Pro Flow: Includes Plus Flow plus automated material procurement and job summaries.

  • Elite Flow: Includes Pro Flow plus subcontractor compliance "gatekeeper" engines and custom logic.

2. Client Responsibilities

To ensure the success of these automations, the Client must:

  • Provide valid API access or login credentials to necessary third-party platforms (e.g., Jobber, QuickBooks, Zapier).

  • Ensure that all data entered into their systems (e.g., contact phone numbers, email addresses, and invoice statuses) is accurate and up-to-date.

  • Maintain active, paid subscriptions for any third-party software required for the "Flow" to function.

3. Third-Party Software and API Changes

Our services rely on third-party platforms (e.g., Zapier, CRM providers, and SMS gateways).

  • Toolvia is not responsible for service interruptions, data loss, or "broken" automations caused by changes to third-party APIs, software updates, or outages.

  • Any repairs required due to third-party updates or Client-induced errors after the initial setup period will be billed at our standard hourly rate.

4. Payments and Refunds

  • Setup Fees: Given the custom labor involved in building your Flow, all setup fees are non-refundable once work has commenced.

  • Monthly Maintenance: If a monthly maintenance plan is selected, it may be cancelled with 30 days' notice.

5. Limitation of Liability

Toolvia is a service provider and is not liable for:

  • Accounts Receivable Errors: Any errors in automated billing or collection reminders sent based on inaccurate data in the Client’s accounting software.

  • Compliance Failures: While the Elite Flow aids in monitoring subcontractor compliance (e.g., COI, WCB/WorkSafe), the Client is ultimately responsible for ensuring all subcontractors are legally insured and compliant with provincial regulations.

  • Communication Errors: Any accidental messages sent to customers due to incorrect status tagging within the Client’s CRM.

6. Intellectual Property

Upon final payment, Toolvia grants the Client a non-exclusive license to use the specific Zapier configurations and "Flows" built for their business. Toolvia retains the right to use the underlying logic and "templates" for other clients.

7. Governing Law

These Terms of Service are governed by the laws of the Province of British Columbia and the federal laws of Canada.
